1. Acceptance of these Terms

These Terms of Service ("Terms") form a binding agreement between you ("Client", "User", "you") and Kobek Advisory Private Limited, a company incorporated under the Companies Act, 2013, having its registered office at 5/3039/5b Muneeswaran Colony, Tamil Nadu, India ("Kobek", "we", "us", "our"). By accessing https://kobek.in ("Website") or engaging any service offered by Kobek, you confirm that you have read, understood and agreed to these Terms, our Privacy Policy and Cookie Policy.

2. Nature of services

Kobek provides financial advisory, wealth management, corporate advisory, family-office, risk, tax and estate-planning consulting services on a fee basis. We are an independent advisory firm. We do not act as a banker, depository participant, custodian, broker, portfolio manager or insurance underwriter unless expressly stated in a separate signed engagement letter.

3. No investment recommendation by default

Content displayed on this Website — including market data, indices, asset prices, charts, sentiment indicators, news, insights, blog posts and educational material — is provided for general informational purposes only and does not constitute investment advice, an offer to sell, a solicitation to buy, or a recommendation of any security, cryptocurrency, derivative, structured product or other financial instrument. Any decision to act on such information is taken solely at your own risk.

4. Eligibility

Services are offered only to persons who (a) are at least 18 years of age, (b) have full legal capacity to enter into a binding contract under the Indian Contract Act, 1872, and (c) are not prohibited from receiving the services under the laws of their jurisdiction. By using the Website you represent that you meet these conditions.

5. Client onboarding & KYC

Where you formally engage Kobek, you agree to provide accurate and complete know-your-customer ("KYC") information, identity proofs, PAN/Aadhaar (as applicable), financial disclosures, risk-profile responses and any other documentation reasonably requested for compliance with the Prevention of Money Laundering Act, 2002 ("PMLA") and applicable regulations of the Securities and Exchange Board of India ("SEBI"), the Reserve Bank of India ("RBI") and the Insurance Regulatory and Development Authority of India ("IRDAI"). We may refuse or terminate services if information is incomplete, inaccurate or fraudulent.

6. Fees, invoicing & taxes

Fees for each engagement are set out in the engagement letter or fee schedule applicable to the service. Unless otherwise stated, fees are exclusive of Goods and Services Tax (GST) and any other applicable statutory levies, which shall be borne by the Client. Invoices are payable within fifteen (15) days. Overdue amounts may attract interest at 1.5% per month and Kobek may suspend services for non-payment.

7. Conflicts of interest & fiduciary duty

Kobek maintains a fiduciary standard towards advisory clients. We disclose material conflicts of interest, do not accept product commissions from manufacturers where prohibited, and maintain a written conflicts policy available on request.

8. Risk disclosure

Investing in equities, debt, mutual funds, derivatives, real estate, alternative assets and digital assets / cryptocurrencies involves significant risk, including the risk of total loss of capital. Cryptocurrencies are highly volatile and are currently subject to evolving regulation in India; they are not legal tender. Past performance is not indicative of future results. You should engage Kobek through a formal advisory mandate before acting on any view, model portfolio or research opinion.

9. Third-party market data

Market data, asset prices, charts and indicators displayed on the Website are sourced from third-party providers such as Yahoo Finance and CoinGecko. While we use commercially reasonable efforts to display accurate and current information, we make no warranty as to accuracy, completeness, latency or fitness for any particular purpose and disclaim all liability for losses arising from reliance on such data.

10. Permitted use of the Website

You agree not to:

  • Reverse engineer, scrape, mirror or systematically extract content from the Website;
  • Interfere with the security, integrity or availability of the Website or attempt unauthorised access;
  • Upload viruses, malware, or use the Website to transmit unlawful, defamatory, infringing or harassing content;
  • Impersonate any person, including a Kobek advisor or staff member.

11. Intellectual property

All content on the Website, including the Kobek brand, logos, design system, research notes, methodologies, dashboards and software, is owned by or licensed to Kobek and is protected under Indian and international intellectual-property laws. You may view and download content for personal, non-commercial use only.

12. User accounts

Certain features (client portal, advisor portal, admin tools) require an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at info@kobek.in on any suspected breach.

13. Limitation of liability

To the maximum extent permitted by law, Kobek, its directors, officers, employees and affiliates shall not be liable for any indirect, incidental, consequential, special, punitive or exemplary damages, lost profits, lost data, lost goodwill or opportunity costs arising out of or in connection with your use of the Website or services, even if advised of the possibility. Our aggregate liability for any direct loss is limited to the fees paid by you to Kobek in the twelve (12) months preceding the event giving rise to the claim.

14. Indemnity

You agree to indemnify and hold harmless Kobek from any claim, loss or expense (including reasonable legal fees) arising out of (a) your breach of these Terms, (b) your violation of any law, or (c) your infringement of any third-party right.

15. Confidentiality

Each party shall keep confidential all non-public information of the other party received in connection with services and use it only for the purpose of performing or receiving the services. This obligation survives termination.

16. Termination

Either party may terminate an engagement by written notice in accordance with the engagement letter, or with thirty (30) days' notice in the absence of one. Fees accrued up to the effective date of termination remain payable.

17. Governing law & dispute resolution

These Terms are governed by the laws of India. Any dispute shall first be attempted to be resolved amicably; failing which, it shall be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Chennai, Tamil Nadu. Subject to arbitration, the courts at Chennai shall have exclusive jurisdiction.

18. Changes to these Terms

We may update these Terms from time to time. Material changes will be highlighted on the Website. Continued use of the Website after such changes constitutes acceptance of the revised Terms.
